Terms And Conditions

1. ​Definitions 

Seller means Industrial Products Online Ltd (Company Number 8156901), including any trading styles, brands, websites, and divisions operated by the company from time to time.

Buyer means the person, firm, company, organisation or other entity contracting with the Seller for the purchase of Goods.

Goods means all products, equipment, materials and services supplied by the Seller .

Order means an order placed by the Buyer for the supply of Goods

2. General

a) If the Buyer is a consumer, nothing in these terms and conditions shall affect the Buyer’s statutory rights or cancellation rights under applicable consumer legislation.

b) These terms and conditions shall apply to all contracts for the sale of Goods by the Seller to the Buyer. The Seller reserves the right to amend these terms and conditions from time to time.

c) These terms and conditions shall prevail over any representations made in advertising, marketing material, website content or any terms proposed by the Buyer unless expressly agreed in writing by the Seller.

d) By placing an Order, the Buyer confirms acceptance of these terms and conditions.

e) These terms and conditions constitute the entire agreement between the Seller and the Buyer relating to the sale of Goods.

3. Orders

a) All Orders shall be deemed to be an offer by the Buyer to purchase Goods pursuant to these terms and conditions.

b) The Buyer shall be responsible for ensuring the accuracy of all information supplied in connection with an Order.

c) The Seller reserves the right to refuse any Order without providing a reason.

d) Acceptance of an Order and formation of a contract shall occur upon dispatch of the Goods by the Seller unless otherwise agreed in writing.

e) Where Goods are manufactured, customised or specially procured to order, cancellation may only be accepted at the Seller’s discretion. The Seller reserves the right to recover all costs incurred up to the point of cancellation.

4. Carriage and Delivery Charges

a) Prices may include delivery to locations in England and Wales as detailed on the relevant website or quotation.

b) Additional delivery charges may apply to certain locations including Scotland offshore islands, remote areas, Northern Ireland, the Scottish Highlands and other locations outside standard delivery zones.

c) Where additional charges apply, the Seller will notify the Buyer before dispatch and reserve the right to delay shipment until payment is received.

5. Prices

a) Prices published by the Seller may be amended without notice.

b) Whilst every effort is made to maintain accurate pricing, errors may occur. Where an error is identified, the Seller will notify the Buyer before processing the Order.

c) All prices are exclusive of VAT unless otherwise stated.

6. Payment

a) Payment must be received in cleared funds before Goods are dispatched unless credit terms have been agreed in writing.

b) Accepted payment methods may include credit card, debit card, bank transfer, PayPal, cheque or other methods offered by the Seller.

c) The Seller reserves the right to cancel Orders where payment cannot be successfully processed.

d) The Buyer shall be responsible for any costs incurred by the Seller resulting from failed or reversed payments.

7. Property and Risk

a) Ownership of the Goods shall remain with the Seller until payment has been received in full for all Goods supplied and all outstanding sums owed by the Buyer have been paid.

b) Risk in the Goods shall pass to the Buyer upon delivery.

c) Until ownership passes, the Buyer shall keep the Goods properly stored, protected and identifiable as the Seller’s property.

8. Delivery

a) Goods shall be delivered to the address specified by the Buyer.

b) Any delivery dates provided are estimates only and are not guaranteed.

c) The Seller shall not be liable for any loss arising from delays in delivery beyond its reasonable control.

d) Where delivery cannot be completed due to circumstances attributable to the Buyer, any additional delivery, storage or administration costs may be charged to the Buyer.

e) The Seller will endeavour to deliver Goods within stated lead times but does not guarantee specific delivery dates.

9. Website Information

a) The Seller endeavours to ensure that information published on its websites is accurate but does not warrant that all information is error free.

b) Product descriptions, specifications, drawings and images are intended as guides only and may vary from actual products.

c) The Seller reserves the right to modify, suspend or discontinue any website content, product or service without notice.

d) The Seller accepts no responsibility for damage caused by viruses, malware or other harmful material arising from use of its websites.

10.Disclaimer and Limitation of Liability

a) Nothing in these terms shall exclude liability for death or personal injury caused by negligence, fraud or any liability which cannot lawfully be excluded.

b) Subject to clause 1O(a), the Seller shall not be liable for:

  • Loss of profit;
  • Loss of revenue;
  • Loss of business;
  • Loss of contracts;
  • Loss of goodwill;
  • Loss of anticipated savings;
  • Loss of data; or
  • Any indirect or consequential loss.

 

c) Except where the Buyer is a consumer, no warranty, guarantee or indemnity is given regarding fitness for purpose beyond those implied by law.

11. Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over any dispute arising from these terms and conditions.

12. Receipt, Inspection and Returns

a) The Buyer shall inspect Goods immediately upon delivery.

b) Any shortages, transit damage or defects must be reported within 5 working days of delivery.

c) Failure to notify the Seller within this period may affect the Buyer’s ability to make a claim.

d) Goods may not be returned without prior written authorisation from the Seller.

e) Bespoke, customised or made-to-order Goods are non-returnable unless faulty or otherwise required by law. The returns policy is detailed in Appendix A.

f) Returned Goods must be unused, in saleable condition and in original packaging where reasonably possible.

g) The Seller reserves the right to apply reasonable restocking, handling, carriage or repair charges where applicable.

h) Refunds shall normally be made using the original payment method unless otherwise agreed

13. Force Majeure

The Seller shall not be liable for any delay or failure in performance resulting from events beyond its reasonable control, including but not limited to:

  • Acts of God;
  • Fire;
  • Flood;
  • Extreme weather;
  • War;
  • Terrorism;
  • Civil disturbance;
  • lndustrial disputes;
  • Transport disruption;
  • Utility failures;
  • Government action.

14. Intellectual Property

a) All intellectual property rights relating to the Seller’s websites, catalogues, documentation, drawings, trademarks and branding remain the property of the Seller or its licensors.

b) Website content may be viewed or downloaded for personal and non-commercial use only.

c) No material may be copied, reproduced, distributed or commercially exploited without prior written permission.

15. Data Proteection

a) Personal data shall be processed in accordance with applicable UK data protection legislation, including the UK GDPR and Data Protection Act 2018.

b) Information collected bythe Seller shall onlybe used for legitimate business purposes including order processing, customer service and marketing where consent has been provided.

c) The Seller shall not sell personal information to third parties.

Appendix A: Returns Policy

Returns

1. Goods that are manufactured-to-order or bespoke to a customer instruction are classed as non-stock goods and cannot be returned.

2. The Seller can accept stock goods for restocking providing the following criteria is adhered to with the following exceptions:

a) We are notified of return within 5 working days from date of dispatch at which time providing this is acceptable, a returns number will be issued. Goods without the official returns number will be refused.

b) All returns must be arranged by customers own transportation methods unless a collection option is offered by the Seller.

c) Goods must be returned unused and in a resaleable condition and in original packaging where possible.

d) Goods being returned must be wrapped to protect against damage on return journey. We reserve the right to change for refurbishment costs as well as restocking costs.

3. The seller will not accept return on any quantity orders. Our definition of quantity is 3 goods and above and is based on total order quantity, not per product quantity.

4. Provided goods are returned in a resaleable condition subject to inspection after receipt the seller will issue a credit with restocking costs deducted to the buyer. If goods require refurbishment, a damage report will be issued advising of any costs involved.

5. All returns are subject to a restocking fee of up to 40% dependent upon range, the specific fee will be informed by the Seller.

6. All returns must be returned to us within 5 working days of returns number being issued. Failure to return within this period will result in the goods being refused and no longer returnable.
